These Terms and Conditions ("Terms") govern your access to and use of the PinSpot platform, website (pinspot.ai), applications, APIs, messaging services, and related services (collectively, the "Service"), operated by 13TEN4 Ventures Inc., a Delaware corporation ("PinSpot," "we," "us," or "our").
By creating an account, claiming a venue profile, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
PinSpot is a software platform that helps venues (restaurants, bars, event spaces, and similar businesses) create, maintain, and distribute structured, machine-readable information about their business — including hours, events, specials, menus, and descriptions — so that AI assistants, search engines, and other platforms can access accurate, up-to-date venue information.
The Service includes, without limitation: hosted venue profiles (e.g., pinspot.ai/v/yourvenue), an AI readiness scoring system, a web dashboard, SMS and messaging-based update tools, integrations with third-party platforms (such as Google Business Profile and Meta platforms), and publication of venue data in formats designed to be read by AI systems and crawlers.
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to keep it updated. Notify us immediately at mike@13ten4.com of any unauthorized use of your account.
PinSpot may create preliminary venue profiles using publicly available information (including information gathered by our crawler, PinSpotBot). These unclaimed profiles are provided for identification purposes and may be claimed by an authorized representative of the venue.
By claiming a venue profile, you represent and warrant that you are an owner, manager, or authorized representative of that venue. We may require verification (including SMS verification to a phone number associated with the venue) before granting control of a profile. We may suspend or remove any claim we reasonably believe to be fraudulent or unauthorized.
If you believe a profile for your venue contains inaccurate information or you wish to have an unclaimed profile removed, contact us at mike@13ten4.com.
By submitting, uploading, or transmitting any content or data to the Service — including venue descriptions, hours, events, specials, menu information, photos, and any other material submitted through the dashboard, messaging channels, or otherwise ("Venue Content") — you irrevocably assign and transfer to PinSpot all right, title, and interest in and to that Venue Content, including all intellectual property rights therein, to the fullest extent permitted by law.
To the extent any rights in Venue Content are not assignable under applicable law, you grant PinSpot a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and otherwise exploit such Venue Content in any media or format, for any purpose, including operating, improving, and promoting the Service and distributing venue data to third parties, AI systems, and platforms.
Notwithstanding the assignment in Section 4.1, PinSpot grants you a non-exclusive, royalty-free license to continue using your Venue Content for your own business purposes (for example, on your own website, menus, and marketing materials).
You represent and warrant that: (a) you own or have all necessary rights to submit the Venue Content and to make the assignment and grant the licenses in this Section 4; (b) the Venue Content is accurate and not misleading; and (c) the Venue Content does not infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights, and does not violate any law.
PinSpot owns all data generated by the Service, including AI readiness scores, analytics, aggregated data, structured data formats, and any data derived from Venue Content or public sources. We may use, distribute, and commercialize such data without restriction.
You understand and intend that Venue Content will be published publicly and distributed to third parties — including AI assistants, search engines, apps, and other platforms — and that once distributed, we cannot control or retrieve copies held by third parties. Removal of content from the Service does not guarantee removal from third-party systems.
Any feedback, suggestions, or ideas you provide about the Service are owned by PinSpot and may be used without restriction or compensation.
By providing your mobile phone number and opting in to PinSpot messaging — whether through the dashboard, the venue claim flow, or by initiating a conversation with the PinSpot messaging agent — you expressly consent to receive text messages (SMS) and/or WhatsApp messages from or on behalf of PinSpot at the number provided. These messages may include:
Consent to receive marketing messages is not a condition of purchasing any goods or services.
The Service includes an AI-powered messaging agent that lets you update your venue profile by text message. By sending a message to the PinSpot agent number, you consent to receive automated reply messages as part of that conversation. Messages you send to the agent are processed by automated systems (including third-party AI providers) to interpret and apply your requested updates, and become Venue Content subject to Section 4.
Message frequency varies based on your usage and account activity. Message and data rates may apply; you are responsible for any charges from your carrier. You can opt out of SMS messages at any time by replying STOP to any message. After opting out, you will receive a single confirmation message. You can get help by replying HELP or contacting mike@13ten4.com. Opting out of messaging may limit your ability to use messaging-based features of the Service, including SMS verification and the update agent.
Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your carrier and is not guaranteed.
You represent that you are the owner or authorized user of the phone number you provide, and you agree to notify us promptly if you change or deactivate that number. You may not use PinSpot messaging features to send unlawful, abusive, or deceptive content.
Messaging via WhatsApp is additionally subject to WhatsApp's own terms of service and privacy policy.
Certain features require a paid subscription. Current plans and pricing are displayed at checkout. Fees are stated in U.S. dollars and are exclusive of taxes, which you are responsible for where applicable.
Subscriptions are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe. Your subscription automatically renews at the end of each billing period, and your payment method will be charged the then-current rate, until you cancel. We do not store your full payment card details; payments are processed by Stripe subject to its own terms.
You may cancel at any time through the billing page in your dashboard or by contacting mike@13ten4.com. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
Except where required by law, fees are non-refundable, including for partial billing periods, downgrades, or unused features. We may, at our sole discretion, offer refunds or credits in specific cases; doing so does not obligate us to do so again.
We may change subscription pricing with at least 30 days' notice (by email or in-dashboard notice). Price changes take effect at your next renewal. Continued use after the change takes effect constitutes acceptance.
If a renewal payment fails, we may retry the charge and notify you. If payment is not completed within a reasonable period, we may downgrade your account to a free tier or suspend paid features.
You agree not to: (a) submit false, misleading, or deceptive venue information; (b) claim a venue you are not authorized to represent; (c) interfere with or disrupt the Service, or attempt to access it by any means other than the interfaces we provide; (d) scrape, harvest, or bulk-extract data from the Service except as permitted by a written agreement or published API terms; (e) reverse engineer, decompile, or copy any part of the Service; (f) use the Service to violate any law, including telemarketing and anti-spam laws; (g) upload viruses or malicious code; or (h) resell or white-label the Service without our written consent.
We may investigate violations and may suspend or terminate accounts that violate these Terms.
The Service integrates with and distributes data to third-party platforms and AI systems (including, for example, Google Business Profile, Meta platforms, and AI assistants such as ChatGPT, Claude, and Perplexity). We do not control these third parties. We do not guarantee that any third-party platform or AI system will display, use, or accurately represent your venue information, or that your venue will be recommended or ranked in any particular way. Your use of third-party platforms is governed by their own terms.
While the Service is designed to help keep venue information accurate, PinSpot does not verify Venue Content and is not responsible for the accuracy, completeness, or timeliness of any venue information, whether submitted by users, gathered from public sources, or displayed by third parties. AI readiness scores are estimates provided for informational purposes only.
The Service — including all software, designs, text, graphics, logos, trademarks, data formats, and the PinSpot and PinSpotBot names and marks — is owned by 13TEN4 Ventures Inc. or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. Upon termination: your license to use the Service ends; Sections 4 (Content and Data Ownership), 9, 10, 12, 13, 14, and 15 survive; and we may retain and continue to use Venue Content and derived data as described in Section 4.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINSPOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) PINSPOT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) PINSPOT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO PINSPOT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You will defend, indemnify, and hold harmless PinSpot, 13TEN4 Ventures Inc., and their officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Venue Content; (b) your breach of these Terms or of any representation or warranty in them; (c) your violation of any law or third-party right; or (d) your misuse of the Service.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Delaware or remotely by agreement. You and PinSpot each waive the right to a jury trial and to participate in any class action or representative proceeding. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.
You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing mike@13ten4.com with your name and account email.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may cancel your subscription.
These Terms, together with the Privacy Policy and any plan-specific terms presented at checkout, are the entire agreement between you and PinSpot regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given by email to your account address.
